PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY!

Welcome to Acuity Scheduling, Inc. (together with its affiliates, “Acuity Scheduling”, "We", “Us", or the "Company"). We are excited to have you as a user and as a customer. We’d like you to know that the following terms and conditions (collectively, these "Terms of Service") apply to your use of AcuityScheduling.com (the “Site”), including all related web sites, downloadable software, mobile applications (including tablet applications), and other services provided by us, or any digital media on which a link to this Privacy Policy is displayed, and all other communications with individuals though written or oral means (such as email or phone) directed at accessing or using any service we offer (together with the Site, the “Service”).

The Terms of Service also include our Privacy Policy, which you can review here: https://acuityscheduling.com/privacy.php

We want to keep our relationship with you as lean and informal as possible, but please read the Terms of Service carefully before you start using Acuity Scheduling, because by using the Site you accept and agree to be bound and abide by these Terms of Service.

Should you disagree with some of the provisions herein, you can either leave the Site (although we'll be sad to see you go!) or contact us at support@acuityscheduling.com.  Please keep in mind that this document is a legally binding agreement between you as the user of the Service (referred to as “you”, “your” or “User” hereinafter) and the Company.

Terms of Service for Acuity Scheduling

  1. Application and Acceptance of the Terms
    1. Your use of the Service, software and products is subject to these Terms of Service as well as the Privacy Policy and any other rules and policies of the Site that We may publish from time to time. This document and such other rules and policies of the Site are collectively referred to below as the “Terms”. By accessing the Site or using the Service, you agree to accept and be bound by the Terms. Please do not use the Service or the Site if you do not accept all of the Terms.
    2. You may not use the Service and may not accept the Terms if (a) you are not of legal age to form a binding contract with Us, or (b) you are not permitted to receive any Service under the laws of the Commonwealth of Pennsylvania, the United States of America, and/or any other jurisdictions whose laws may apply to your use of the Service.
    3. You acknowledge and agree that We may amend any Terms at any time by posting the relevant amended and restated Terms on the Site. By continuing to use the Service or the Site, you agree that the amended Terms will apply to you.
    4. If Acuity Scheduling has posted or provided a translation of the English language version of the Terms, you agree that the translation is provided for convenience only and that the English language version will govern your uses of the Service or the Site.
    5. You may be required to enter into a separate agreement, whether online or offline, with Acuity Scheduling or our affiliate for any Service (“Additional Agreements”). If there is any conflict or inconsistency between the Terms and an Additional Agreement, the Additional Agreement shall take precedence over the Terms only in relation to that Service concerned. Specifically, if you or your clients are in the European Economic Area or Switzerland, you are required to enter into Acuity’s International Data Transfer Agreement, which implements model contractual language promulgated by the European Commission and designed to, among other things, protect the data privacy rights of European citizens.
    6. The Terms may not otherwise be modified except in writing by an authorized officer of Acuity Scheduling.
  2. Provision of Service
    1. You must register as a member on the Site in order to access and use some Service. 2. Service (or any features within the Service) may vary for different regions and countries. No warranty or representation is given that a particular Service or feature or function thereof or the same type and extent of the Service or features and functions thereof will be available for Users. Acuity Scheduling may in our sole discretion limit, deny or create different level of access to and use of any Service (or any features within the Service) with respect to different Users.
    3. Acuity Scheduling may launch, change, upgrade, impose conditions to, suspend, or stop any Service (or any features within the Service) without prior notice except that in case of a fee-based Service, Users shall be notified no less than fourteen (14) days prior to any change in such Service.
    4. Some Service may be provided by Acuity Scheduling’s affiliates on behalf of Acuity Scheduling.

    6. You agree not to undertake any action which may undermine the integrity of Acuity Scheduling’s feedback system, such as leaving positive feedback for yourself using secondary Member IDs or through third parties or by leaving unsubstantiated negative feedback for another User.
    7. Further, and as described in our Privacy Policy, Acuity Scheduling may disclose the Member's identity and contact information, if requested by a government or law enforcement body, an injured third party, or as a result of a subpoena or other legal action. 7. Transactions Made Through The Site
    1. Acuity Scheduling provides electronic web-based platforms for exchanging information between buyers and sellers of products and services, including an “Acuity Certified Expert (ACE)” marketplace to facilitate the purchase and sale of services related to the Service (including services regarding account setup, configuration, business processes, ongoing business and technical support, and integration of the Service with third-party products and services) offered by Users designated as an Acuity Certified Expert (ACE). Acuity Scheduling additionally provides electronic web-based transaction platforms for Members to place, accept, conclude, manage and fulfill orders for the provision of products and services online within the Site. However, for any Service, Acuity Scheduling does not represent either the seller or the buyer in specific transactions. Acuity Scheduling does not control and is not liable to or responsible for the quality, safety, lawfulness or availability of the products or services offered for sale on the Site or the ability of the sellers to complete a sale or the ability of buyers to complete a purchase.
    2. Users are hereby made aware that there may be risks of dealing with people acting under false pretenses. Acuity Scheduling uses several techniques to verify the accuracy of certain information our paying Users provide us when they register for a paying membership service on the Site. However, because user verification on the Internet is difficult, Acuity Scheduling cannot and does not confirm each User's purported identity (including, without limitation, paying Members). We encourage you to use various means, as well as common sense, to evaluate with whom you are dealing.
    3. Each User acknowledges that it is fully assuming the risks of conducting any purchase and sale transactions in connection with using the Site or Service, and that it is fully assuming the risks of liability or harm of any kind in connection with subsequent activity of any kind relating to products or services that are the subject of transactions using the Site. Such risks shall include, but are not limited to, misrepresentation of products and services, fraudulent schemes, unsatisfactory quality, failure to meet specifications, defective or dangerous products, unlawful products, delay or default in delivery or payment, cost miscalculations, breach of warranty, breach of contract and transportation accidents. Such risks also include the risks that the manufacture, importation, export, distribution, offer, display, purchase, sale and/or use of products or services offered or displayed on the Site may violate or may be asserted to violate any rights of third parties, and the risk that User may incur costs of defense or other costs in connection with third parties’ assertion of rights, or in connection with any claims by any party that they are entitled to defense or indemnification in relation to assertions of rights, demands or claims by third parties. Such risks also include the risks that consumers, other purchasers, end-users of products or others claiming to have suffered injuries or harms relating to products originally obtained by Users of the Site as a result of purchase and sale transactions in connection with using the Site may suffer harms and/or assert claims arising from their use of such products. All of the foregoing risks are hereafter referred to as "Transaction Risks". Each User agrees that Acuity Scheduling shall not be liable or responsible for any damages, claims, liabilities, costs, harms, inconveniences, business disruptions or expenditures of any kind that may arise a result of or in connection with any Transaction Risks.
    4. Users are solely responsible for all of the terms and conditions of the transactions conducted on, through or as a result of use of the Site or Service, including, without limitation, terms regarding payment, returns, warranties, shipping, insurance, fees, taxes, title, licenses, fines, permits, handling, transportation and storage.
    5. User agrees to provide all information and materials as may be reasonably required by Acuity Scheduling in connection with such User’s transactions conducted on, through or as a result of use of the Site or Service. Acuity Scheduling has the right to suspend or terminate any User’s account if the User fails to provide the required information and materials.
    6. In the event that any User has a dispute with any party to a transaction, such User agrees to release and indemnify Acuity Scheduling (and our agents, affiliates, directors, officers and employees) from all claims, demands, actions, proceedings, costs, expenses and damages (including without limitation any actual, special, incidental or consequential damages) arising out of or in connection with such transaction.

  13. Dispute Resolution and Arbitration Agreement
    1. This Dispute Resolution and Arbitration Agreement shall apply if your (i) Country of Residence is in the United States; or (ii) your Country of Residence is not in the United States, but you bring any claim against Acuity Scheduling in the United States.
    2. Overview of Dispute Resolution Process. Acuity Scheduling is committed to participating in a consumer-friendly dispute resolution process. To that end, these Terms provide for a two-part process for individuals to whom Section 13.1 applies: (1) an informal negotiation directly with Acuity Scheduling’s customer service team, and (2) a binding arbitration administered by the American Arbitration Association (“AAA”) using its specially designed Consumer Arbitration Rules (as modified by this Section 13 and except as provided in Section 13.6). Specifically, the Consumer Arbitration Rules provide:
      1. Claims can be filed with AAA online (www.adr.org);
      2. Arbitrators must be neutral and no party may unilaterally select an arbitrator;
      3. Arbitrators must disclose any bias, interest in the result of the arbitration, or relationship with any party;
      4. Parties retain the right to seek relief in small claims court for certain claims, at their option;
      5. The initial filing fee for the consumer is capped at $200;
      6. The consumer gets to elect the hearing location and can elect to participate live, by phone, video conference, or, for claims under $25,000, by the submission of documents;
      7. The arbitrator can grant any remedy that the parties could have received in court to resolve the party’s individual claim.
    3. Pre-Arbitration Dispute Resolution and Notification. Prior to initiating an arbitration, you and Acuity Scheduling each agree to notify the other party of the dispute and attempt to negotiate an informal resolution to it first. We will contact you at the email address you have provided to us; you can contact Acuity Scheduling’s customer service team by emailing us. If after a good faith effort to negotiate one of us feels the dispute has not and cannot be resolved informally, the party intending to pursue arbitration agrees to notify the other party via email prior to initiating the arbitration. In order to initiate arbitration, a claim must be filed with the AAA and the written Demand for Arbitration (available at www.adr.org) provided to the other party, as specified in the AAA Rules.
    4. Agreement to Arbitrate. You and Acuity Scheduling mutually agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement or interpretation thereof, or to the use of the Service or Site (collectively, “Disputes”) will be settled by binding arbitration (the “Arbitration Agreement”). If there is a dispute about whether this Arbitration Agreement can be enforced or applies to our Dispute, you and Acuity Scheduling agree that the arbitrator will decide that issue.
    5. Exceptions to Arbitration Agreement. You and Acuity Scheduling each agree that the following claims are exceptions to the Arbitration Agreement and will be brought in a judicial proceeding in a court of competent jurisdiction: (i) Any claim related to actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights; (ii) Any claim seeking emergency injunctive relief based on exigent circumstances (e.g., imminent danger or commission of a crime, hacking, cyber-attack).
    6. Arbitration Rules and Governing Law. This Arbitration Agreement evidences a transaction in interstate commerce and thus the Federal Arbitration Act governs the interpretation and enforcement of this provision. The arbitration will be administered by AAA in accordance with the Consumer Arbitration Rules and/or other AAA arbitration rules determined to be applicable by the AAA (the “AAA Rules“) then in effect, except as modified here. The AAA Rules are available at www.adr.org or by calling the AAA at 1–800–778–7879.
    7. Modification to AAA Rules - Arbitration Hearing/Location. In order to make the arbitration most convenient to you, Acuity Scheduling agrees that any required arbitration hearing may be conducted, at your option: (a) in the Commonwealth of Pennsylvania; (b) via video conference if available facilities are adequate for conducting an arbitration; or (c) in any other location to which you and Acuity Scheduling both agree.
    8. Arbitrator’s Decision. The arbitrator’s decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court with proper jurisdiction. The arbitrator may award declaratory or injunctive relief only on an individual basis and only to the extent necessary to provide relief warranted by the claimant’s individual claim.
    9. Jury Trial Waiver. You and Acuity Scheduling acknowledge and agree that we are each waiving the right to a trial by jury as to all arbitrable Disputes.
    10. No Class Actions or Representative Proceedings. You and Acuity Scheduling acknowledge and agree that we are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, class-wide arbitration, private attorney-general action, or any other representative proceeding as to all Disputes. Further, unless you and Acuity Scheduling both otherwise agree in writing, the arbitrator may not consolidate more than one party’s claims and may not otherwise preside over any form of any class or representative proceeding. If this paragraph is held unenforceable with respect to any Dispute, then the entirety of the Arbitration Agreement will be deemed void with respect to such Dispute.
    11. Severability as to Arbitration Agreement. Except as provided in Section 13.11, in the event that any portion of this Arbitration Agreement is deemed illegal or unenforceable, such provision shall be severed and the remainder of the Arbitration Agreement shall be given full force and effect.
    12. Survival.  To the extent allowed by law, this Section 13 will survive any termination of these Terms and will continue to apply even if you stop using the Acuity Scheduling’s Service or Site.
  14. General Provisions
    1. Acuity Scheduling and you are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by the Terms.
    2. The Terms of Service constitutes the entire agreement between you and Acuity Scheduling and govern your use of the service, superseding any prior agreements (including, but not limited to, any prior versions of the Terms of Service). If any provision of these Terms of Service is held by a court of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.
    3. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.
    4. Acuity Scheduling’s failure to enforce any right or failure to act with respect to any breach by you under the Terms will not constitute a waiver of that right nor a waiver of Acuity Scheduling’s right to act with respect to subsequent or similar breaches.
    5. Acuity Scheduling shall have the right to assign the Terms (including all of our rights, titles, benefits, interests, and obligations and duties in the Terms to any person or entity (including any affiliates of Acuity Scheduling). You may not assign, in whole or part, the Terms to any person or entity.
    6. The Terms shall be governed by the laws of the Commonwealth of Pennsylvania and the United States of America without regard to its conflict of law provisions. The parties to the Terms hereby submit to the exclusive jurisdiction of the federal and state courts of the Commonwealth of Pennsylvania.
